Paywalls.ai is a platform designed for users who want to monetize access to AI-powered services through usage-based paywalls. Our service enables easy integration of payment and metering controls for AI model usage without requiring complex billing setups. These Terms of Service (“Terms”) govern your access and use of Paywalls.ai and related services. By accessing or using Paywalls.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms. Any use of Paywalls.ai constitutes your implicit acceptance of these Terms.2. Definitions
- Paywalls.ai: The platform providing intelligent paywalls for monetizing Large Language Model (LLM) API usage. But not limited to that.
- User: Any person or entity accessing, developing, or using the services through Paywalls.ai.
- Operator: The legal entity responsible for the operation and provision of Paywalls.ai.
- Services: All features, tools, and functionalities offered through Paywalls.ai.
3. Account Registration and Access
- Users must create an account and provide accurate information.
- Users are responsible for maintaining the confidentiality of their account credentials and API keys.
- Users must authorize payments and billing associated with their account usage.
4. Use of the Service
- The service enables charging users based on per-prompt, per-token, per-request, or other metered usage models.
- Users must maintain sufficient balance or credit in their accounts to use the services.
- Access may be suspended, limited, or terminated for misuse, fraudulent activity, or violation of these Terms.
5. Payment and Billing
- Various pricing models are supported, including flat per-request fees, token-based billing, and manual charges.
- Payments received from your end users or customers are split into revenue for you, platform fees, and provider costs as configured.
- Users approve charges via integrated payment methods such as Stripe, On Ramp Services, or cryptocurrency gateways.
- Payment disputes must first be addressed directly with the service support before pursuing other remedies.
6. User Content and Data License
You retain all ownership rights to any content, data, or models you upload, create, or otherwise provide through Paywalls.ai (“User Content”). By using our services, you grant the Operator a non-exclusive, worldwide, royalty-free, revocable license to use, reproduce, process, and display your User Content solely as necessary to provide, maintain, and improve the services.7. Intellectual Property
- All intellectual property rights related to the platform, software, and services are owned or licensed by the Operator.
- Users retain ownership of their own AI models, data, and content.
- Users are granted a limited, non-exclusive, non-transferable license to use the services solely for lawful purposes in accordance with these Terms.
8. Indemnification
You agree to indemnify, defend, and hold harmless Paywalls.ai, the Operator, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the services; (b) your violation of these Terms; or (c) infringement or violation of any third party rights.9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYWALLS.AI, THE OPERATOR, AND THEIR AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL PAYWALLS.AI, THE OPERATOR, OR THEIR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF THE SERVICES, (II) YOUR INABILITY TO ACCESS OR USE THE SERVICES, OR (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.10. Privacy and Data

13. Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
- Any dispute arising out of or relating to these Terms shall be finally resolved by arbitration under the Rules of the Singapore International Arbitration Centre (SIAC) by one or more arbitrators appointed in accordance with said Rules.
